We're looking for a Senior Assistant Company Secretary to join our team based in London.
This role is integral to the Kier Company Secretarial team (CGI Team of the Year 2024) in the provision of high-quality corporate governance and company secretarial services to the Kier Group. Particular focus on PLC Board governance and compliance, project management of the Annual Report and support to the PLC and wider business. This is a high-profile role within Kier and you will be working with senior stakeholders within the business.
Location: London W1 - hybrid working available, with travel to offices as required
Hours: 37.5 hours per week - some flexibility on hours available if desired, just let us know when you speak to us
What will you be responsible for?
The Senior Assistant Company Secretary proactively supports the delivery of a professional and efficient company secretarial service at Kier and will take a key role in assisting the Company Secretary to keep up to date with the evolving regulatory/governance landscape, making recommendations and providing support in the implementation of ongoing enhancements within Kier.
Your day to day will include:
- Supporting the Company Secretary on Board, ESG, Nomination, Remuneration Committee matters including uploading of Board and Committee papers, Board and Committee effectiveness evaluation and Board induction programme.
- Attending the Risk and Audit Management Committee meetings including drafting of minutes and agendas, managing standing agenda, action tracking, annual review of terms of reference, drafting Committee papers as required. If you do not have prior Board meeting experience the Company Secretary will offer training.
- Working with the Company Secretary to ensure the Board, Board Committees and EXCO meeting lifecycle is planned, managed and executed successfully throughout the year including maintaining diary invites and attendance calendar.
- Lead the project management of the Company's Annual Report to ensure a smooth process is undertaken and a compliant annual report is produced. Some project management experience would be desirable, but support and training will be offered.
- Lead on the AGM organisation and related matters.
- Provide cover and support to the Assistant Company Secretary on subsidiary governance.

What are we looking for?
This role of Senior Assistant Company Secretary is great for you if you have:
- CGI qualification – and significant post qualification experience.
- Experience post-qualification in a Corporate Secretariat function, including time with a PLC of similar size and complexity.
- Exposure and some experience with managing Board and Committee meeting lifecycle.
- The ability to work in a collaborative, professional manner with the Company Secretarial team, Board, the executive team, senior internal stakeholders and external stakeholders, using diplomacy, sound judgement and technical expertise.
- Excellent technical knowledge of the UK Companies Act, Corporate Governance Code and UK Listing Rules.
- Excellent IT skills, good working knowledge of GEMS (or similar), BoardVantage (or other board portal) and Insiderhub (or similar).
